Terms & Conditions

• "Tiitan1," "we," "us," or "our" — Tiitan1 AI, headquartered in Atlanta, Georgia, USA.
• "User," "you," or "your" — any person or entity accessing or using our services.
• "Services" — the website, browser extensions, enterprise plugins, operations portal, documentation, and any related software, content, or support provided by Tiitan1.
• "Customer" — an entity that has entered into a paid agreement for the Services.

You must be at least 18 years old and authorized to enter into a binding contract on behalf of yourself or the entity you represent.

• You agree to provide accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of credentials.
• You are responsible for all activity under your account.
• Notify [email protected] of any unauthorized access.

You will not:

• Use the Services in violation of any law, regulation, or third-party rights
• Reverse-engineer, decompile, or attempt to extract source code, except as permitted by law
• Bypass or attempt to bypass security or rate-limiting mechanisms
• Use the Services to develop a competing product
• Resell, sublicense, or redistribute the Services without written authorization
• Upload malicious code or content
• Use automated means to access the website except for legitimate search-engine indexing
• Misrepresent your identity or affiliation

Subject to these Terms and any applicable subscription agreement, Tiitan1 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes.

All content, trademarks, logos, software, documentation, and other materials are the property of Tiitan1 or its licensors, protected by copyright, trademark, patent, and other intellectual property laws. Customer feedback may be used by Tiitan1 without obligation. The TIITAN1, TIITAN1 AI, and SAFEGUARD THE FUTURE OF AI marks are trademarks of Tiitan1 AI.

Customer Data submitted to or processed by the Services remains the property of the Customer. Tiitan1 processes Customer Data only as instructed by the Customer and in accordance with our Privacy Policy and Data Processing Addendum (available on request).

• Subscription terms, pricing, and payment schedules are governed by the applicable order form or online checkout.
• Fees are non-refundable except as expressly stated.
• Late payments accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower.
• Tiitan1 may suspend Services for non-payment after written notice.

• Subscriptions auto-renew unless cancelled in writing before the renewal date as specified in the order form.
• Either party may terminate for material breach uncured within 30 days of written notice.
• Upon termination, your right to use the Services ends immediately. Customer Data export is available for 30 days post-termination on request.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL SENSITIVE DATA WILL BE DETECTED IN EVERY CIRCUMSTANCE. NO SECURITY SOLUTION IS PERFECT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIITAN1 AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. TIITAN1'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO TIITAN1 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Tiitan1, its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right.

Each party will protect the other's confidential information using the same care it uses for its own (no less than reasonable care). Confidential information may only be used to perform under these Terms.

We may update the Services or these Terms at any time. Material changes to these Terms will be posted with a new effective date and, for active Customers, communicated by email. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia. The parties waive any right to a jury trial. For disputes exceeding $50,000, the parties may agree to binding arbitration under JAMS rules.

You agree to comply with all U.S. and applicable export-control laws and regulations. The Services may not be exported to embargoed countries or restricted parties.

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, civil unrest, cyberattacks, pandemics, or government action.

If any provision is found unenforceable, the remainder remains in effect. Waiver of any breach is not a waiver of any subsequent breach.

These Terms, together with any executed order form, Data Processing Addendum, and Privacy Policy, constitute the entire agreement between the parties.
